Terms & Conditions

These Terms & Conditions govern your use of the Prepaze Academy website and enrollment in our programs. When you create an account, book a trial or diagnostic, or enroll a student, you agree to these terms. Detailed program rules — including attendance, makeup, behavior, and academic-integrity policies — are set out in our Enrollment Agreement, which you accept at checkout. The version of these terms in effect on the date you pay is the version that applies to that purchase.
Who is agreeing (the contracting party)
Our services are for K-12 students and are arranged by a parent or legal guardian. The parent or legal guardian who enrolls a student is the contracting party under these terms and the Enrollment Agreement — not the student. You represent that you are at least 18 years old and have authority to enroll the student, and you are personally and jointly responsible for all tuition and fees. You create a Prepaze Academy account, are responsible for keeping your login credentials secure and for all activity under your account, and agree to provide accurate information and keep it up to date.
Free trials & diagnostic assessments
A free trial class carries no charge and no obligation to enroll. A paid diagnostic assessment includes a written report, and its fee is credited toward enrollment if you join. Trial and diagnostic bookings are subject to availability and confirmation by our team.
Enrollment & fees
A one-time $125 Enrollment & Assessment fee applies to monthly plans. It is waived on quarterly and annual plans, bulk tutoring packs, a second sibling, or a second course. This fee, and the 3% credit-card surcharge described below, are disclosed to you before you pay.
Monthly plans hold one month as a deposit that applies to your notice period when you leave. Textbooks and Unik LMS access are included on all courses, AP, and Gifted — never a separate charge.
Enrollment is per student and per course. Multiple students or courses may be enrolled separately. Placement is based on the information you provide and, where applicable, a diagnostic assessment.
Payments, billing & automatic renewal
Tuition is billed according to the plan you select at checkout. You authorize us to charge your selected payment method for tuition and applicable fees.
Monthly plans renew automatically. Monthly plans continue and are charged to your saved payment method each month at the then-current monthly rate until you cancel. You may cancel at any time from your account or by contacting us, using the same method you used to enroll; cancellation stops future renewals and takes effect at the end of the current paid period. Quarterly and annual plans are prepaid for the term. We send booking, renewal, and payment notices to your email.
A 3% surcharge applies to credit-card payments and is disclosed before you pay; pay by ACH, Zelle, or cash to skip it. Siblings and second courses get 10% off the additional enrollment, on request. Payments are processed securely by Stripe; we do not store full card or bank-account numbers. Failed or declined payments may pause enrollment until resolved.
Discounts
Quarterly plans include a discount versus paying monthly (approximately 5% off), and annual plans include a larger discount (approximately 10% off). The one-time registration and assessment fees are waived on quarterly and annual plans, for a second sibling, and for a second course.
Scheduling, attendance & makeups
Classes run on scheduled days and times. To cancel or reschedule a session, give at least 24 hours’ notice. Sessions cancelled with less than 24 hours’ notice, and no-shows, are deemed delivered and are not eligible for a makeup or credit.
Makeups are offered subject to availability, are limited to two (2) makeup sessions per term, and must be used within 60 days of the missed session. We will offer a makeup or credit for any class we cancel. Additional scheduling details are in the Enrollment Agreement.
Student conduct & academic integrity
Students are expected to treat instructors, peers, and property with respect and to follow our academic-integrity and behavior policies. Cheating, plagiarism, or disrupting a class undermines learning; serious or repeated violations may result in removal from the program as described in the Enrollment Agreement, without refund of fees already earned.
Health, allergies & safety
Please tell us about any allergies, medical conditions, or accommodations your child needs so we can support them safely. For in-center programs, you agree to follow our center safety and pickup procedures. We are not a medical provider and administer no medication.
Communications & consent
By providing your contact details you consent to receive service messages by email — booking and enrollment confirmations, payment and renewal notices, scheduling updates, and account communications. You can reach us any time to update your preferences. Transactional messages necessary to run your enrollment may continue while your account is active.
Photo & media consent
From time to time we may photograph or record classes and events. If you prefer that your child not appear in promotional materials, let us know in writing and we will honor your request.
Acceptable use of the Unik platform
Access to the Unik learning platform and website is granted for the enrolled student’s personal, non-commercial use. You agree not to share login credentials, copy or redistribute materials, attempt to disrupt or gain unauthorized access to our systems, or use the services unlawfully. We may suspend access for misuse. Where a platform account is created for a child, it is set up by and under the supervision of the enrolling parent or guardian; see our Privacy Policy for how we handle children’s information.
Cancellation & refunds
Withdraw before classes start: full refund of everything paid.
Withdraw after classes start (prepaid plans): we recalculate at the standard monthly rate for months used, add back the registration fee and any sibling discount, and refund the rest.
You may cancel a monthly plan at any time; cancellation stops future renewals and takes effect at the end of the current paid period. Registration and assessment fees are otherwise non-refundable once classes begin.
Tutoring programs — credits, delivery & instructors
Tutoring programs (hourly and bulk/package) are non-refundable. Hours are valid for twelve (12) months from the date of purchase.
Delivery. An hour is deemed delivered when the scheduled session is held, whether or not the student attends, subject to our rescheduling policy above. Our attendance records are conclusive unless you notify us in writing of an error within seven (7) days of the session.
Instructor assignment. Prepaze assigns instructors and may reassign an instructor at any time. If you are dissatisfied with an instructor, your remedy is reassignment to a different instructor for your remaining hours. Completed sessions are not re-delivered, repeated, or credited.
Program format. Group and private instruction are separate programs at separate rates. Hours purchased in one format may be applied to the other only with our written approval and payment of the difference in the then-current rates. Format conversion is not a remedy for dissatisfaction.
Accommodations. Any refund, credit, extension, or other accommodation we grant is a one-time courtesy. It is not an admission of any obligation, does not modify this agreement, and does not waive any term of it.
Disputes & chargebacks
Contact us first. Before initiating a payment dispute or chargeback, you agree to notify us in writing and allow fifteen (15) business days to respond. Most billing questions resolve within a few days.
Delivered services. Sessions that were scheduled and held are delivered services. You agree not to dispute charges for delivered services.
Costs. If a chargeback is filed for delivered services, you remain liable for the amount charged back plus a $35 administrative fee and our reasonable costs of responding.
Notice and cure. Before commencing any legal action, you agree to send written notice describing the claim and the relief sought to contact@prepazeacademy.com, and to allow thirty (30) days to resolve it. Nothing in this paragraph limits rights that cannot be limited by law, including under the Consumers Legal Remedies Act.
Third-party services
We use trusted third parties to operate our services — including Stripe for payment processing and email providers for notifications. Their handling of your information is governed by their own terms and privacy policies. We are not responsible for third-party services outside our control.
Intellectual property & course materials
All course materials — printed books and workbooks, Ace Academic Publishing titles, answer keys, handouts, the Unik learning platform, and website content — are the property of Prepaze Academy or its licensors and are provided for the enrolled student’s personal, non-commercial use only.
You agree not to photocopy, scan, reproduce, resell, or distribute printed materials, and not to download (except where expressly marked downloadable), copy, screen-record, share login credentials for, publish, or redistribute any digital materials. Digital content may be watermarked with your account details, and access may be suspended for misuse.
Limitation of liability
We strive for strong outcomes but cannot guarantee specific grades or test scores. To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, and our total liability is limited to the fees you paid for the affected services.
Nothing in these terms limits liability for fraud, willful injury, gross negligence, or any liability that cannot be limited under applicable law. Any claim arising out of these terms must be brought within one (1) year after the claim arose.
Privacy & children's data
Your use of our services is also governed by our Privacy Policy, which explains what information we collect, how we use it, and your choices. Because our students are children, our Privacy Policy addresses how we handle a minor’s information, including obtaining verifiable parental consent where required by law (for example, for children under 13).
Governing law, venue & informal resolution
These terms are governed by the laws of the state in which the center serving the enrolled student is located, as identified in your Enrollment Agreement, without regard to conflict-of-laws rules. The exclusive venue for any action is the state or federal courts located in the county of that center, and you consent to personal jurisdiction there.
Before starting any action, you agree to the notice-and-cure process in the Disputes & Chargebacks section above; we will try in good faith to resolve any dispute informally first.
Arbitration & class-action waiver
Please read this section carefully. It affects how disputes are resolved and limits your rights, including the right to sue in court, to a jury trial, and to participate in a class action. You may opt out within 30 days (see below).
Agreement to arbitrate. Except as set out below, any dispute or claim arising out of or relating to these Terms, the Enrollment Agreement, our services, or any Prepaze Academy transaction will be resolved by binding individual arbitration rather than in court. Arbitration will be administered by a recognized arbitration provider (such as the American Arbitration Association or JAMS) under its consumer arbitration rules then in effect. The arbitrator decides all issues, except that a court decides the enforceability of the class-action waiver below.
Arbitration fees. For consumer disputes, we will pay the arbitration filing, administration, and arbitrator fees to the extent required by the administering provider’s consumer rules or by applicable law. Each party otherwise bears its own attorneys’ fees, unless a statute or the arbitrator provides otherwise.
Class-action waiver. Claims must be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and the rest of this section still applies.
Small-claims & injunctive relief. Either party may instead bring an individual claim in small-claims court if it qualifies and remains there. Nothing here prevents either party from seeking injunctive relief in court to protect intellectual-property rights.
Notice first. Before starting arbitration, you agree to complete the notice-and-cure process in the Disputes & Chargebacks section above.
Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing contact@prepazeacademy.com with your name and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Nothing in this section waives any right that cannot be waived under applicable law, including under the Consumers Legal Remedies Act.
Force majeure
We are not liable for delays or failure to provide services due to events beyond our reasonable control, such as natural disasters, utility or internet outages, or public-health emergencies. Where a class is affected, we will offer a makeup or credit.
Severability & entire agreement
If any provision of these terms is found unenforceable, the remaining provisions stay in effect. These Terms, the Enrollment Agreement, and the Privacy Policy together form the entire agreement between you and Prepaze Academy regarding your use of our services. If they conflict, the Enrollment Agreement controls as to program-specific terms (such as attendance, makeups, and conduct), and these Terms control as to all other matters.
Changes to these terms
We may update these terms. We will post the updated version with a new version number and effective date and, for material changes, email enrolled families at least thirty (30) days before they take effect. Changes apply prospectively only and do not alter the terms of programs or packages already purchased.
